These Terms of Service ("Terms," also the "Terms of Use" or "EULA" for Apple App Store subscriptions) govern your access to and use of the website at lopjlb.com, the LOPJLB iOS application, and all related services (collectively, the "Platform") operated by LOPJLB Research ("we," "us," or "our"). By accessing or using the Platform you agree to be bound by these Terms.

IMPORTANT: NOT INVESTMENT ADVICE
The operators of this Platform are not registered investment advisors, broker-dealers, financial planners, or fiduciaries. No registration with the SEC, FINRA, or any state or international regulatory body is held or implied. No fiduciary duty or professional advisory relationship of any kind exists between you and LOPJLB Research by virtue of your use of this Platform.
The Platform is a software-as-a-service (SaaS) research tool that provides quantitative data, algorithmic signals, and scoring models for informational and educational purposes only. Nothing on the Platform constitutes personalized investment advice, a recommendation to buy or sell any security, a solicitation of any transaction, or an offer to manage funds on your behalf.
Past performance, including all backtested results, composite scores, model portfolios, and historical return statistics - does not guarantee future results. All investments involve risk, including the possible loss of your entire principal. You alone are responsible for your own investment decisions. You should consult a licensed, qualified financial professional before making any investment decisions.

1. Nature of the Service

The Platform is a SaaS research and analytics tool. We aggregate publicly available market data, compute proprietary quantitative scores, and present them through an interactive interface. We do not:

  • Provide personalized investment advice or financial planning.
  • Recommend the purchase, sale, or holding of any security.
  • Manage, custody, or trade any assets on your behalf.
  • Act as a broker-dealer, transfer agent, or investment company.
  • Guarantee the accuracy, completeness, or timeliness of any data or signal.

Any scores, signals, rankings, or model outputs displayed on the Platform are the result of automated algorithms applied to third-party data. They reflect quantitative observations, not human recommendations. You must perform your own due diligence and consult qualified professionals before acting on any information obtained through the Platform.

2. Assumption of Risk

By using the Platform you acknowledge and agree that: (a) investing in securities carries inherent risk, including the total loss of capital; (b) past performance and backtested results are not indicative of future returns; (c) algorithmic signals and quantitative scores may contain errors, may be based on incomplete or delayed data, and should never be relied upon as the sole basis for any investment decision; and (d) you bear full and sole responsibility for your own investment decisions and their outcomes.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement in your jurisdiction. By using the Platform you represent and warrant that you meet these requirements.

4. Accounts

Certain features require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at contact@lopjlb.com if you suspect unauthorized access.

5. Subscriptions & Billing

Paid access ("Pro," "Enterprise," or other paid plans) is offered as a recurring subscription. Billing channel depends on where you purchase:

  • Web. Subscriptions purchased on lopjlb.com are billed through Stripe on a recurring monthly or annual basis (as selected at checkout). You may cancel from your account billing settings; access continues until the end of the then-current paid period unless otherwise stated at checkout.
  • iOS App Store. Subscriptions purchased in the LOPJLB iOS app are auto-renewable In-App Purchases processed by Apple. Payment is charged to your Apple ID account at confirmation of purchase. The subscription automatically renews for the same duration (e.g., one month for LOPJLB Pro Monthly) unless you cancel at least twenty-four (24) hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate disclosed at purchase (or as otherwise shown in the App Store). You can manage or cancel the subscription in your device's Account Settings (Settings → [your name] → Subscriptions), or as otherwise directed by Apple. Deleting the app or closing your LOPJLB account does not by itself cancel an App Store subscription.
  • Prices are shown at purchase in the applicable store (App Store or web checkout). Apple may display localized pricing. We may change web pricing with reasonable notice; App Store price changes follow Apple's rules and any required customer notice/consent.
  • Refunds for App Store purchases are handled by Apple under Apple's refund policies. Refunds for Stripe/web purchases are handled on a case-by-case basis at our discretion unless required by law.
  • A subscription purchased on one channel (web or iOS) unlocks the same account entitlements across platforms where available; it does not create a second charge on the other channel for the same period if you already have an active entitlement on that account.

6. Acceptable Use

You agree not to:

  • Reverse-engineer, scrape, or systematically download data from the Platform beyond normal personal use.
  • Redistribute, resell, or republish any proprietary signal, score, or dataset without our written consent.
  • Use automated bots, spiders, or similar tools to access the Platform in a manner that degrades service for others.
  • Attempt to bypass authentication, access controls, or rate limits.
  • Use the Platform for any unlawful purpose.

7. Intellectual Property

All content, algorithms, scoring models, backtests, signal methodologies, and trade names (including "SD50," "PERF," and "LOPJLB") are the intellectual property of LOPJLB Research or its licensors. Your subscription grants a limited, non-exclusive, non-transferable license to use the Platform for your personal, non-commercial research.

8. Disclaimer of Warranties

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that: (a) the Platform will be uninterrupted, error-free, or free of harmful components; (b) any data, signal, score, or algorithmic output is accurate, complete, or current; or (c) the Platform is suitable for making investment decisions.

9. No Professional Relationship

Your use of the Platform does not create any professional-client relationship, advisory relationship, fiduciary duty, or any other special relationship between you and LOPJLB Research. We are a technology company providing software tools, not a financial services firm. Any reliance you place on information obtained through the Platform is strictly at your own risk.

10. Limitation of Liability

To the fullest extent permitted by applicable law, LOPJLB Research and its affiliates, members, officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, investment losses, trading losses, or losses arising from reliance on any signal, score, or data presented on the Platform, arising out of or in connection with your use of or inability to use the Platform, whether based in contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability exceed the greater of (a) the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless LOPJLB Research and its affiliates, members, officers, employees, and contractors from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your breach of these Terms; (b) your misuse of the Platform; (c) your violation of any law or regulation; or (d) any investment decision you make based in whole or in part on information obtained through the Platform.

12. Termination

We may suspend or terminate your access at any time, with or without cause, with or without notice. Upon termination, your rights to use the Platform cease immediately.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law provisions. You agree that any dispute arising out of or relating to these Terms or the Platform shall first be submitted to good-faith mediation. If mediation is unsuccessful, the dispute shall be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.

14. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Your continued use of the Platform after changes constitutes acceptance.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and LOPJLB Research regarding the Platform and supersede all prior agreements and understandings.
